| 2. Background to the Alliance |
We at MSI have been vigorously expanding in China, opening a branch
and nine representative offices, including Shanghai Branch.* This
is a top-class office network among foreign insurance companies there.
However, we have come to a conclusion that we need a strong Chinese
business partner in order not to miss the high tide of the market
whose premiums have been growing more than ten percent annually and
to ensure quality services for customers, particularly Japanese corporations,
who tend to be scattering country-wide. |

| A branch and nine representative offices are namely; Shanghai Branch,
China General Representative Office(Beijing), Dalian, Guangzhou, Shenzhen,
Tianjin, Chengdu, Suzhou, Hangzhou and Qingdao Representative Offices. |
